Taskmanager Problem

Hey, I'm having a problem with Taskmanager. Whenever I call it up by
CTRL+ALT+DEL or right clicking the start menu, it'll appear for 2 seconds
then it's gone. The taskmanager icon in the system tray stays visible till
my mouse moves over it, then it disappears too. If I keep trying to get
Taskmanager to come up, I can have a whole bunch of icons in the system
tray. How can I get my taskmanager to work again? I have Windows XP Pro
with/
all the current updates, I have a Pentium 3 750MHz with 256MB RAM. I would
appreciate ANY help as I use taskmanager a lot!

I did a virus scan under safe mode, and nothing showed up. But I can't run
msconfig, task manager, or run a norton antivirus full system scan while not
in safe mode. What can I do to correct this problem?
