System shutdown when modem connects

From time to time, when I wake my computer and ask it to
go online, I get the blue screen at the point of
connection. That is after the handshake. I receive a
message= STOP 00xx*** DRIVER_IRQL_NOT_LESS_OR_EQUAL =
Begining dump of physical memory. Then I have to reboot.
I am using a USR PCI hardware modem and I tried
downloading any new drivers and also tried flashing to
V92. Also changed slots for the modem but nothing seems to
work. Please Help. Thank You. Jim P
