i had that message and used the recovery console which
seems to have sorted it out. boot up with the XP disc in
the drive and then choose Recovery Console. you can copy
the files by typing COPY d:\I386\win32k.sys
c:\windows\system32\win32k.sys you might want to backup
the file first though
