On W2K3, you can create DFS root only on the shares that are created on NTFS
volumes. That is very likely the cause of issue you are seeing. You will
need NTFS as underlying volume of your DFS root on W2K3.
Please let me know if your issue is not solved.

Can you try adding W2K3 root replica by running DFSGUI.msc from Win2003
server and see if you still get the error?
Also, please check SYSTEM event logs on Win2003 machine (eventvwr->System)
and see if there are any 'Error' or 'Warning' posting from dfssvc (Source of
those entries is 'Dfssvc').
If there are such entries, please tell me what are they telling.
