Did you run the upgrade advisor first to check for any issues?

I run and what I got:

Your computer can run Windows Vista
Based on our scan of your system, Windows Vista Business appears to be the
best edition for you. For information about other editions, click the edition
names in the left pane. But I have 1 issue for System Requirements (hard disk
free space on C but I want to install somewhere else), 10 issues for devices
and 11 issues for Programs. You can see my reprot from here:

Try not overclocking, updating your BIOS, and doing a clean install.
