lsass.exe invalid parameter

Hi All:

I am attempting to upgrade a Win98 machine to WinXP home
edition. After copying all of the files and the reboot
process, I receive the following error dialog: "lsass.exe
invalid parameter passed to function." When I click on
OK the system restarts the entire process over.

I have tried to enter into the recovery console but when
it prompts me to enter the Administrator password I have
to reboot because I don't have an adminstrator password.
Is there a default administrator password on WinXP?
Also, is there anything else that I can do short of doing
a full re-format?
