CPU Usage

I have Win2K. For some reason when I start up windows and
go to task manager it will say that my CPU Usage is at
100%. It will then say that I'm low on memory. I don't
see how this is possible when I don't have any programs
running. Even when I make sure anything/everything on the
taskbar is shut down it still gives me these errors. Then
since it says my CPU is at 100% usage I can't really open
any programs.
