Controlling file access

I questioning here as I am looking for a command line solution.
I am using W2K.
I want security to stop members of group Users accessing the C:\ folder.
(A program failure is suggested to be due to such a cause. I can't
investigate until I can set up the scenario.)
How do I do this?
I went hunting and found nothing simple or understandable.
I would appreciate a simple answer or the url of one.
I know the 1st thing I have to do is to convert the partition to NTFS.

@echo Y|CACLS c:\Folder /d "Group"

Many thanks! It would have taken me an age to find CACLS.
