Just a thought this but give it a go anyway as you have nothing to loose.
Uninstall Activesync. Uninstall the firewall, (or turn it off if it is the
XP one) Check that there is nothing wrong in device manager and uninstall
anything that has an error. Then download the latest ActiveSync version and
install it. Delete any partnerships on the Pocket PC and start again making
sure that you install and connect in the correct order.
