well, i guess my subject heading sums it up quite well.

whenever the phoneline is plugged into the phone jack on
the modem card in my computer, it starts up by itself
when the phone rings!! it is not castastrophic but it can
be very irritating at times (i have to plug and unplug my
computer when i need to dialup)

any thought?

Go to the BIOS.
Look for something like "Wake on Ring", usually in "Power" section.
Disable it.
