Do I have to reformat my C drive to change from fat32 to
NTFS? If so, will that wipe out my data on my c drive?
Is there a benefit to NTFS

No, using the convert command just changes the filesystem without a
need to format.

Formatting would wipe out the data on your drive otherwise.

It is a journaled filesystem, so it is much less prone to corruption.
It also lets you use the filesystem level security features that
W2K/XP offers.
