CD Drive Woes

I'm having extreme trouble with Windows 2000 Prof and Cd Rom drivers. My system has an HP 9500i writer and Acer 52Max cd-rom. Both are identified by Bios and the Device Manager but ... the icons in the Device manager have the yellow exclaimation mark for both drives. Both properties show the same drivers but "windows cannnot load" them "Code 31". I have reinstalled the drivers, looked at the Windows Update site to no avail.

What can I do?

I installed another copy of 2000 Prof in another directory and all worked ok from that boot, but I do not want to install it over my exisiting setup due to multiple users. And I don't want to loose my dial up settings etc. (Or can I do this and still keep my dial up settings?"

I'm not an expert at WIndows at all so any help would be greatly appreciated.
