I got a Win XP Pro full retail with SP2 from an uncle.
I wish to upgrade an old PC with NT, but when I click on
either Install Windows XP or Check system compatibility,
nothing happens, except the screen flickers for half a
second. The other options: Learn more about the setup process
and Perform additional tasks proceed when I clicked.
I tried this CD in another PC with Windows 2000, and the
Install and check options do proceed if I click on them.
Why does it fail with NT?

It's probably a better plan to back up your data, boot from the XP CD, wipe
the disk, and install fresh. There will be software, such as anti-virus or
firewall, that won't run on XP, and you'll get more reliable results from a
clean install.

It may be that you need to read the system specs to see if it is actually
compatible. Some older video cards, for example, are not supported in XP.

What happens when you run <cd>\I386\winnt32 manually?

Good idea, but the OP must run it from a Command Prompt so that he can see
the error messages:
1. Click Start, then Run.
2. Type the three letters cmd
3. Press the OK button.
4. Type this command:
X:\i386\winnt32{Enter}
(replace X: with your CD drive letter)
