I have a new p.c. with 2000 on it and I cant seam to load
xp home over it.

XP Home will not upgrade over Windows 2000. Your only options are:

1) Format and reinstall

2) Create a dual boot setup, if you have a second partition/hard disk to
install XP Home to.
