Can an OEM version be used for upgrade?

I have heard that an OEM version of home or pro cannot be used to
upgrade from example 98se. Are there any "tricks" to allow one to do
an upgrade?

It will only do a clean install on an empty partition. You
will have to reinstall your applications. But you can have
data on other partitions.
