BSOD when using a xDSL D-Link 200 modem

HP Pavilion having problems with connecting to Internet.
System info: HP Pavilion 512A:
Error msg: DRIVER_IRQL_NOT_LESS_OR_EQUAL
STOP: 0x000000D1(0x00000008, 0x00000002, 0x00000000,
0xF736CDC9)
NDIS.SYS address 0xF736CDC9, 0xF735A000, datestamp
0x3D6DE4C3
while trying to access internet.
OS= XP Home
memory= 128MB (added 192MB)

Steps done:
Rebuilt system from recovery partition on drive.
removed memory that was purchased.
removed all USB devices and installed one-at-a-time all
worked until trying to access Internet.
