briefcase problem with merge handler

Greetings all...

I have a problem with Briefcase. When updating the
briefacase, I get an error:

"Update Briefcase '<Filename.xls>' will not be updated
because its merge handler cannot be loaded"

Does anyone know about this/how to get around it? This is
on Win2K. The XLS file is from Office 2K.

The KB addresses this issue for Excel '97, but no note
regarding my versions.

This is a problem as once it hits the file, it kills the
rest of the update.

Comments/suggestions?
