The easiest way is to have Win98 pre-installed and then install WinXP in
a dual-boot configuration. The WinXP installation process creates the file.
As an alternative method, you can try this:
Install Windows 98 after XP is Installed.

Note: Your Primary Active partition (normally the C: drive must be FAT32
