There were some good suggestions re: this situation in the past. Here's a

Are you also running CounterSpy?
CounterSpy is designed around the Giant AntiSpyware engine. MS bought out
Giant Company to acquire Giant AntiSpyware.
These two programs are known to conflict with one another.

We've had a number of this kind of issue posted recently. My sense of this
is that there is a software conflict of some sort, and I've suggested, in
other threads, using MSCONFIG to turn off all third-party services and
startup items to see whether that enables the user to spot what the conflict
is.
That'd be my suggestion to you as well. This is a somewhat time-consuming
process, I'm afraid--and I wouldn't be surprised if this conflict wasn't
present in beta2, which should be released later this year---so you can
choose to spend time on this now and have the protection (if you can solve
this one) or wait.
