backup DC and DFS

I have a customer who has a 2000 server as his DC and file/printer sharing
server. He just purchased a new server that he wants me to install as a
backup in case the original DC crashes or is taken offline. He also has
Exchange 2000 on a seperate server. So, I know I can dcpromo the new server
to handle authentications, but the file and printer shares are my issues. I
guess Exchange is also an issue. If I create a DFS root on server 1 and
create a DFS replica on the new server, that should take care of any file
issues if either server is taken offline right? What about Exchange 2000?
Do I have to make the new server a global catalog too for Exchange to work?
