BACK.EXE ERROR/DUMPING PHYSICAL MEMORY

I get on my Dell Lattitude with WIN2000 an error
message "The instruction at '0x77fcc663' referenced
memory at '0x00000040'. The memory could not
be 'written'. click OK to terminate the program"

In addition, my screen will daily go blue with some
gibberish, then "Stop...address bebdd7ac base at bebd8000
datestamp 3ecd5361-mrxsmb.sys beginning dump of physical
memory" The only thing I can do it force quit the
computer. I do not know if these are related. Any help
would be great.
