what makes the AMD Processor in a Box different ?

What benefits does this give?

Would this need a processor fan?

Last time I checked, retail processors came in a box with a fan from
the manufacturer. This makes things a bit easier. They also come
with a sticker for your case that says "intel inside" or "AMD", or
something like that. ;-)

I typically buy retail boxed versions, because they're not much more
money, and I don't overclock or obsess about noise, so the "stock" fan
is "good enough". They also seem to be packed better, so would seem
to be more likely to arrive intact.

the retail warranty is 3 years compared to oem 30 days to 1 year.

Comes with HS/Fan/ Warrantee. an OEM chip would be acouple months
warrantee, The one I bought cam on a carrier, in an antistatic ziplock
bag. (I boug it from a store, but who knows how it got shipped to
them)

Couple years warrantee.

3 year AMD warranty try getting a shop to refund/replace a faulty oem cpu
they sold you. Also peace of mind the boxed cpu comes sealed so you know it
has not been swapped/used/returns/rma. And the price difference is almost
nothing when the price of a hsf is added to the oem .
