Access is denied

I keep on getting "Access is denied" 'assemblyname'
System.IO.FileLoadException error.

The site works and then all of the sudden, I get the
error. The only way to resolve it is to restart IIS.

I'm running win2k, IIS5, .NET 1.1, no anti-virus checks,
Index server is disabled, and I have full rights to all
related folders.

Does anyone have an answer?
